VEHICLE TRACKING SERVICE AGREEMENT

(Limitation of Liability & Risk Acknowledgment Clause)

 

This Agreement is made between:

 

Naviton GPS and Vehicle Connectivity Ltd (hereinafter referred to as “Service Provider”)

 

AND

 

(Name of individual/Government Agency/Company/Organisation) (hereinafter referred to as “Client”)

1. Purpose of Agreement

This Agreement sets out the scope of services provided by Naviton GPS and Vehicle Connectivity Ltd and clarifies limitations of liability concerning vehicle tracking services deployed on official government vehicles.

2. Scope of Service

The Service Provider shall:

  • Install GPS tracking devices in designated vehicles;

  • Provide real-time vehicle location monitoring via mobile and web applications;

  • Provide trip history, movement logs, and vehicle-use reporting;

  • Maintain platform access subject to subscription continuity.

The service provided is strictly a vehicle tracking and monitoring solution.

Unless expressly agreed in writing, the Service Provider does not provide vehicle immobilization, anti-theft physical security, or mechanical protection services.

3. Acknowledgment of System Limitations

The Client acknowledges and agrees that:

  1. GPS tracking systems rely on cellular network availability and satellite signal strength;

  2. Service interruption may occur due to network failure, signal obstruction, SIM deactivation, or force majeure events;

  3. The tracking system does not prevent theft but supports post-incident tracking and recovery efforts;

  4. The Service Provider does not guarantee prevention of theft, hijacking, vandalism, or unauthorized vehicle use.

4. Limitation of Liability

The Service Provider shall not be held liable for:

  1. Loss of vehicle due to theft;

  2. Damage arising from criminal activity;

  3. Loss of revenue, operational downtime, or consequential damages;

  4. Failure of third-party network providers;

  5. Unauthorized tampering with installed devices.

In all circumstances, the Service Provider’s total liability shall not exceed the total amount paid by the Client for the specific vehicle tracking service within the preceding three (3) months.

5. Client Responsibilities

The Client agrees to:

  1. Ensure SIM subscriptions remain active where applicable;

  2. Report suspected device tampering immediately;

  3. Maintain vehicle electrical systems in proper condition;

  4. Notify the Service Provider before any vehicle electrical modification or repair.

6. No Warranty on Theft Prevention

The Client understands that the tracking system is a monitoring tool and not an insurance policy or theft prevention guarantee.

The Service Provider makes no express or implied warranty regarding prevention of vehicle theft.

7. Indemnification

The Client agrees to indemnify and hold harmless the Service Provider from any claims, damages, legal proceedings, or liabilities arising from:

  1. Criminal acts involving the vehicle;

  2. Use of the vehicle by authorized or unauthorized personnel;

  3. Operational misuse outside the Service Provider’s control.

8. Governing Law

This Agreement shall be governed by the laws of the Federal Republic of Nigeria.

9. Acceptance

By patronizing our services through our channels/personnel, including but not limited to, website, technicians/staff, and social platforms, the Client confirms full understanding and acceptance of the scope and limitations of the tracking service provided.
